Item 8.01. Other Events.

On June 2, 2011, Tupperware Brands Corporation (the "Company") completed the sale of $400 million in aggregate principal amount of 4.750% Senior Notes due June 1, 2021 (the "Notes"). The Notes are guaranteed by the Company's wholly-owned subsidiary, Dart Industries Inc. (the "Guarantor").

In connection with the anticipated registration with the Securities and Exchange Commission on Form S-4 of the Company's 4.750% Senior Notes due June 1, 2021 (the “Exchange Notes”) to be offered in exchange for the Notes, which Exchange Notes will be guaranteed by the Guarantor, the Company is filing this Current Report on Form 8-K to update certain sections within its Form 10-K for the fiscal year ended December 25, 2010 ("2010 Form 10-K") to include disclosure of financial statements of the Guarantor, as required by Rule 3-10 of Regulation S-X. The revisions to the 2010 Form 10-K to reflect the requirements of Rule 3-10 are within a new Note 19 within Part II, Item 8. Financial Statements and Supplementary Data.

The addition of this disclosure has no impact on the Company's historical consolidated financial position, results of operations or cash flows. This Current Report on Form 8-K neither reclassifies nor restates the Company's previously reported consolidated financial statements for any period, and all other information in the 2010 Form 10-K remains unchanged, including Notes 1 through 15 and 17 through 18 to the Company's consolidated financial statements as originally filed within the 2010 Form 10-K, as well as Note 16 as amended in the Form 8-K filed by the Company on May 25, 2011.

This Form 8-K does not reflect events or developments that occurred after May 25, 2011, nor does it modify or update disclosures in any way other than as required by Rule 3-10 of Regulation S-X. The information in this Form 8-K should be read in conjunction with the 2010 Form 10-K and other documents filed by the Company with the Securities and Exchange Commission subsequent to the filing of the 2010 Form 10-K. Updates to the 2010 Form 10-K included in this Form 8-K, as noted above, supersede the corresponding portions of the Company's 2010 Form 10-K filed on February 22, 2011.
